These Terms of Service ("Terms") govern your access to and use of the website, community platform, and services ("Services" and "Platform") provided by Sophron® Amsterdam Investment Club ("AIC", "we", "us", or "our"). AIC primarily operates as an organizer of networking and educational events and may act as an affiliate for third-party partners.

By visiting our website, creating an account, or registering for an event, you agree to be bound by these Terms. If you do not agree, you may not access our Services.

SECTION 1 – ACCOUNT TERMS AND PERMISSIBLE USE

By agreeing to these Terms of Service, you represent that you are at least 18 years of age. If you are under the age of 18, you confirm that you have obtained explicit consent from your parent or legal guardian to use this Platform. We reserve the right to refuse the Platform or Service to anyone, particularly in cases where an individual violates our community standards or code of conduct.

Prices for our memberships and events are subject to change. For recurring memberships, we will provide you with reasonable prior notice of any price changes.

SECTION 3 – PRODUCTS, SERVICES, EVENTS & AVAILABILITY

We provide access to networking events, educational resources, and recruitment opportunities available online and offline. These Services and events often have limited capacity, and we reserve the right to limit sales or registrations to any person, geographic region, or specific target group on a case-by-case basis. We strive to describe our events and Services as accurately as possible. However, we do not warrant that the quality of any Services, information, or other material obtained by you will strictly meet your personal expectations. All descriptions of Services and events are subject to change at any time without notice at our sole discretion, specifically regarding changes to the speaker lineup, dates, or venue.

SECTION 4 – CHANGES IN BOOKINGS AND ACCOUNT INFORMATION

We reserve the right to refuse any booking or membership registration if it violates our admission criteria. We may, in our sole discretion, limit or cancel the number of tickets purchased per person or per order to ensure fair access. In the event that we make a change to or cancel a booking, we will attempt to notify you via the email or phone number provided at the time of booking. You agree to provide current, complete, and accurate purchase and account information for all interactions with our Platform. It is your strict obligation to promptly update your account information, so that we can complete your transactions and contact you as needed.

SECTION 5 – THIRD PARTY PRODUCTS OR SERVICES

We may provide you with access to third-party products or tools over which we neither monitor nor have any control. You acknowledge and agree that we provide access to such tools or products "as is" and "as available" without any warranties or endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools or products. Any use by you of such tools or products is entirely at your own risk..

SECTION 6 - THIRD-PARTY LINKS AND AFFILITATE DISCLOSURE

If you send submissions (e.g., contest entries, pitch decks) or creative ideas, suggestions, or proposals (collectively, 'Comments'), you grant AIC a non-exclusive, royalty-free, perpetual, and worldwide license to use, edit, copy, publish, and distribute any Comments you forward to us for the purpose of operating and promoting the Club. We are under no obligation to maintain any Comments in confidence (unless agreed otherwise in a separate NDA) or to pay compensation. We may remove content that we determine to be unlawful, offensive, threatening, libelous, or otherwise objectionable or in violation of any party's intellectual property or these Terms.

SECTION 9 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on our site that contains typographical errors, inaccuracies, or omissions that may relate to event descriptions, pricing, and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information in the Service is inaccurate at any time without prior notice. In the event of a manifest error in pricing (e.g., a ticket price that is clearly incorrect), we reserve the right to cancel the transaction and refund any amounts paid.

We reserve the right to immediately suspend or terminate your Services and membership in the event of any breach of these prohibited uses.

SECTION 11 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

The Service, including all educational content and events, is provided 'as is' and 'as available' without any representation, warranties, or conditions of any kind. AIC does not warrant that the results obtained from the use of the Service, including investment decisions based on our content, will be accurate, profitable, or reliable. To the fullest extent permitted by Dutch law, AIC, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, punitive, or consequential damages (including lost profits, lost revenue, or loss of data) arising from your use of the Service or participation in events. Our liability shall in all cases be limited to the amount paid by you for the specific service or event giving rise to the claim, or, in the case of insured events, the amount paid out under our liability insurance policy. This limitation does not apply to damages caused by the intent or gross negligence (opzet of bewuste roekeloosheid) of AIC's executive management.

SECTION 12 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Sophron® Amsterdam Investment Club and our partners, officers, directors, agents, contractors, licensors, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Service or your violation of any law or the rights of a third party..

SECTION 13 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. The unenforceable portion shall be deemed to be severed from these Terms, and such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 14 - TERMINATION

You may terminate your account or use of the Services at any time, subject to any specific cancellation periods related to active paid memberships. We reserve the right to immediately suspend or terminate your access to our Services without prior notice if, in our sole judgment, you fail to comply with any term or provision of these Terms or violate our community standards. Upon termination, you will remain liable for all amounts due up to and including the date of termination.

SECTION 15 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Netherlands. Any disputes arising from or related to these Terms or our Services shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, unless mandatory consumer law prescribes otherwise.

SECTION 18 - REFUNDS & CANCELLATIONS

Pursuant to Article 6:230p of the Dutch Civil Code, the statutory right of withdrawal (cooling-off period) does not apply to services related to leisure activities, events, or workshops that are scheduled for a specific date or period. Consequently, ticket purchases are final upon payment.

We offer a voluntary cancellation policy. Registrations may be cancelled free of charge if a written request is received at least 48 hours prior to the scheduled start of the event. For cancellations received between 24 and 48 hours before the event, a refund of 50% of the booking amount will be issued. Cancellations made within 24 hours of the event, as well as failure to attend without prior notification ("no-show"), are non-refundable and may result in a no-show fee to cover incurred costs such as catering. Requests for rescheduling are subject to availability and must be communicated at least two hours in advance.
